The drafting assumes a commercial agreement between two businesses under a common-law jurisdiction, and it has not been reviewed against any other legal system. Provisions that commonly differ by jurisdiction include governing law and venue, statutory payment terms, notice and deemed-acceptance periods, intellectual-property assignment formalities, limitation-of-liability enforceability, mandatory arbitration, and consumer-protection or unfair-terms rules where your counterparty is an individual rather than a business. Whether any particular clause has effect in your jurisdiction is a question for your lawyer, not for this page.
